Welcome to Prime Reception. The terms “we”, “us” and “our” refer to Prime Reception.

Prime Reception operates this website and provides AI-powered receptionist and automation services, including call handling, appointment booking, and workflow automation (the “Services”).

Prime Reception is powered by Shopify, which enables us to provide this website and certain technical infrastructure. However, all services offered through this website are provided directly by Prime Reception.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, you must not use our Services.

SECTION 1 – ELIGIBILITY & ACCOUNT RESPONSIBILITY

By using the Services, you represent that you are at least the age of majority in your province or country of residence and have the legal authority to enter into this agreement.

You are responsible for:

  • Providing accurate and complete information

  • Maintaining the confidentiality of your account credentials

  • All activity that occurs under your account

You may not transfer or resell your access without our written consent.

SECTION 2 – OUR SERVICES (IMPORTANT)

Prime Reception provides digital, cloud-based services, including but not limited to:

  • AI-powered phone call handling

  • Appointment booking assistance

  • Call routing and workflow automation

  • Administrative data collection

All services are delivered electronically.

No Guarantees

Prime Reception does not guarantee:

  • A specific number of booked appointments

  • Revenue increases

  • Patient conversions

  • Call outcomes

Results depend on multiple factors, including call volume, caller behaviour, clinic availability, and third-party systems.

Prime Reception does not provide medical advice and does not replace licensed clinic staff.

SECTION 3 – FREE TRIALS

We may offer free trials with limited usage.

  • Free trials are optional and may be modified or discontinued at any time.

  • No payment method is required unless stated.

  • Usage beyond trial limits requires conversion to a paid plan.

SECTION 4 – PRICING, BILLING & PAYMENTS

Prices are displayed in Canadian Dollars (CAD) unless stated otherwise.

Setup Fees

  • One-time setup or onboarding fees are non-refundable once configuration has started.

Subscriptions

  • Subscription fees are billed monthly in advance.

  • Fees are non-refundable once the billing cycle begins.

Usage & Overages

  • Plans include usage limits.

  • Any usage exceeding plan limits may result in additional charges.

  • All usage-based charges are final.

You authorise us to charge your selected payment method for all applicable fees.

SECTION 5 – SERVICE DELIVERY (NO SHIPPING)

Prime Reception does not ship physical products.

All Services are delivered digitally through software, phone systems, and integrations. Delivery timelines are estimates only and depend on onboarding completion and third-party access.

SECTION 6 – THIRD-PARTY SERVICES

Our Services may integrate with or rely on third-party providers, including but not limited to:

  • Telephony providers

  • AI processing platforms

  • Scheduling tools

  • Payment processors

We are not responsible for outages, errors, or changes caused by third-party services.

SECTION 7 – INTELLECTUAL PROPERTY

All content, workflows, software logic, branding, and materials are owned by Prime Reception or licensed to us.

You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes only.

You may not:

  • Copy, resell, or reverse-engineer the Services

  • Use our branding without permission

  • Create derivative products based on our workflows

SECTION 8 – ACCEPTABLE USE

You agree not to use the Services to:

  • Violate any laws or regulations

  • Mislead callers or patients

  • Record calls without required consent

  • Transmit harmful, abusive, or unlawful content

  • Interfere with system performance

We reserve the right to suspend or terminate access for violations.

SECTION 9 – DATA & PRIVACY

Your use of the Services is subject to our Privacy Policy.

You acknowledge that:

  • Data may be processed using third-party systems

  • No system is 100% secure

  • You are responsible for obtaining any required caller consent

SECTION 10 – DISCLAIMER OF WARRANTIES

The Services are provided “as is” and “as available.”

To the fullest extent permitted by law, Prime Reception disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant uninterrupted or error-free operation.

SECTION 11 – LIMITATION OF LIABILITY

To the maximum extent permitted by law, Prime Reception shall not be liable for:

  • Lost revenue or profits

  • Missed appointments

  • Data loss

  • Indirect or consequential damages

Our total liability shall not exceed the amount paid by you in the three (3) months preceding the claim.

SECTION 12 – INDEMNIFICATION

You agree to indemnify and hold harmless Prime Reception, its partners, and service providers from any claims arising from:

  • Your misuse of the Services

  • Violation of laws or regulations

  • Failure to obtain required consents

SECTION 13 – TERMINATION

We may suspend or terminate access at any time for:

  • Breach of these Terms

  • Non-payment

  • Misuse of the Services

Upon termination:

  • Outstanding fees remain payable

  • Your access to Services ends immediately

SECTION 14 – CHANGES TO TERMS

We may update these Terms at any time.

Continued use of the Services after changes constitutes acceptance of the updated Terms.

SECTION 15 – GOVERNING LAW

These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable therein.

You agree to submit to the exclusive jurisdiction of the courts located in Manitoba, Canada.

SECTION 16 – ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Prime Reception and supersede all prior agreements.
